IPO RAISINGS:

An Initial Public Offering is when a company raises funds from multiple shareholders in order to apply for Listing on a Stock Exchange.  A Prospectus gives full disclosure on the company, its operations, use of funds and other issues of materiality to an investment decision.  This offer is open to the general public who can access the Prospectus and Application from the MPS or the Company’s websites.

SEED RAISINGS:

Seed Raisings raise funds for Companies that have not yet listed on a public Stock Exchange. Funds are usually raised over a period of time in order to provide the company with capital to continue development of their projects as well as to provide for running costs.  Investment in Seed Capital Raisings is highly speculative and is ONLY open to institutions or professional or sophisticated investors. PLACEMENT CAPITAL RAISINGS:

Placement Raisings raise funds for Companies that have already listed on a Public Stock Exchange. A Placement that is covered by a disclosure document, such as a Prospectus, is open to the public. However, participation is Placements without a disclosure document are restricted to institutions or professional or sophisticated investors who meet the requirements of Section 708 of the Corporations Act 2001. OTHER TYPES OF CAPITAL RAISINGS:

MPS is involved in a range of other capital raisings undertaken by companies, such as Rights Issues, Shareholder Participation Plans, issues of Convertible Notes, Exercises of Options etc. Each of these types of raisings have different conditions for involvement, and participation in any capital raising not covered by a disclosure document is only open to institutions or professional or sophisticated investors.
